Terms and Conditions

1. Who We Are

The TouchStack Digital Wallet Pass service (the "Service") is operated by Precision Forward Ltd ("Precision Forward", "we", "us"), a company registered in England and Wales under company number 16209897, with its registered office at Apartment 197, Metro Central Heights, 119 Newington Causeway, London, SE1 6BW, United Kingdom. These Terms and Conditions ("Terms") govern your use of the Service. They apply specifically to the Digital Wallet Pass service and take precedence over the general terms of use published on usetouchstack.com. By registering for a pass, you accept these Terms.

2. The Service

The Service enables you to register for and receive a digital pass (the "Pass") that can be added to Apple Wallet or Google Wallet. Passes are issued in connection with a loyalty, promotional, or event programme (the "Programme") operated by the brand named in the registration flow (the "Brand"). The benefits, rewards, eligibility rules, and duration of each Programme are determined solely by the Brand and are subject to the Brand's own Programme rules, which apply in addition to these Terms.

3. Eligibility

You must be at least 18 years of age (or the higher minimum age specified by the Programme, including where the Programme relates to alcoholic beverages) and legally capable of accepting these Terms. By registering, you confirm that the information you provide is accurate and relates to you.

4. Registration

To receive a Pass you must complete the registration form and confirm the relevant opt-ins presented, including consent to the use of the digital wallet pass and, where offered, marketing communications. Marketing consent is optional and not a condition of receiving a Pass. Only one registration per email address is permitted per Programme; if you attempt to register again, you may instead be offered re-delivery of your existing Pass.

5. Your Pass

Your Pass is personal to you, non-transferable, and may not be sold, duplicated, or modified. The Pass remains valid until the earlier of its stated expiry, the end of the Programme, or termination in accordance with these Terms. Content displayed on your Pass may be updated remotely by us on the Brand's instructions (for example, updated offers or event details). Where you have consented, you may receive notifications through your Pass; you can disable these at any time in your wallet settings or by removing the Pass.

6. Apple Wallet and Google Wallet

The Service relies on Apple Wallet and Google Wallet, which are third-party services provided by Apple Inc. and Google LLC under their own terms and privacy policies. When you add a Pass to your wallet, Apple or Google process certain device- and account-level data as independent data controllers. We are not responsible for the availability or functioning of Apple or Google services, your device, or your network connection.

7. Personal Data

For the personal data you provide at registration and data generated through use of your Pass, the Brand acts as data controller and Precision Forward acts as data processor on the Brand's behalf. Full details of the processing, your rights, and how to exercise them are set out in the Programme privacy notice presented at registration, which you should read before registering.

In summary:

• registration data is processed on the basis of your consent and retained until your active Pass or Programme membership ends;
• when your Pass is used, technical usage data is generated (scan timestamp, the venue where the Pass was redeemed, interaction type, device context, and IP address) and is used for analytics and aggregate reporting;
• the venue identifier reflects only the configured location where your Pass was scanned — the Service does not access or track your device's GPS location, and any location information derived from your IP address is approximate only;
• usage data is not used for profiling or automated decision-making; and
• email addresses used for duplicate-registration checks are protected by cryptographic hashing rather than stored in plain form.

8. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose;
• attempt to register multiple times or circumvent duplicate-registration controls;
• tamper with, reverse engineer, copy, or counterfeit any Pass or QR code;
• use automated means to register or redeem; or
• interfere with the operation or security of the Service.

We may suspend or cancel any Pass involved in suspected fraud, abuse, or breach of these Terms.

9. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, or affected by factors outside our control, including Apple, Google, or network outages. The Service is provided free of charge to you, and to the fullest extent permitted by law we exclude all warranties and accept no liability for loss arising from your use of, or inability to use, the Service or any Pass. Nothing in these Terms limits liability that cannot be limited by law, and nothing in these Terms affects your statutory rights as a consumer.

10. Termination

You may stop using the Service at any time by removing the Pass from your wallet and, if you wish, requesting deletion of your registration data as described in the Programme privacy notice. We or the Brand may withdraw a Programme or cancel Passes on reasonable notice, or immediately in cases of fraud or misuse.

11. Intellectual Property

The TouchStack platform, including its software, design, and trade marks, is owned by or licensed to Precision Forward. Brand names, logos, and Programme content displayed on your Pass belong to the Brand. You are granted only a limited, revocable, non-exclusive licence to use your Pass for its intended purpose.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or your Pass. The version applicable to you is the one in force at the time of your registration, unless a later version is notified to you and you continue using the Service.

13. Governing Law

These Terms are governed by the laws of England and Wales. If you are a consumer resident in the European Union, you also benefit from any mandatory consumer protection provisions of the law of your country of residence, and you may bring proceedings in your local courts.
